Affiliate Terms and Conditions
1. Approve or Reject of the Registration
We reserve the right to approve or reject ANY Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for rejecting your Affiliate Program Registration. Walton's withholds the right to discontinue the partnership at any time the affiliate represents Walton's brand inappropriately or violates Walton's brand standards. Walton's may terminate the collaboration immediately at their discretion, and all payments will immediately cease
2. Affiliate Links and Coupons
Affiliate links will be automatically generated. If a person clicks on someone else's referral link and then later clicks on yours, yours is the one that counts. Walton's uses a last-click attribution model.
Affiliates might or might not be assigned to a coupon code, with details and usage clarified on the Dashboard. If customers both click on the affiliate link and use your coupon code, you will not receive a double commission. You are not allowed to promote a coupon you are not assigned. Affiliates may also advertise merchant websites on online channels such as Facebook, Instagram, YouTube, or TikTok or offline classified ads in magazines and newspapers.
3. Commissions and payment
If you refer a customer to complete a purchase on our website, you will receive a commission calculated based on your agreed individual offer. The commission total depends on order value and does not include extra fees (tax, shipping cost, etc.). Commission will be eligible on all items up to $100 earned back per item, depending on the commission rate.
To receive a commission, an affiliate must specify the payment details in settings. The payment schedule will be notified on the affiliate guide page. Once the threshold of $100 has been reached, the default payment time will be every 30 days.
Walton's will only send payments for successfully completed transactions. The affiliate program is subject to a fair use policy, which gives the merchant the right to review each referral order. The commission status is displayed in the commission tab; any paid commission will be listed on the Payment tab. Transactions that result in chargebacks or refunds will not be paid out.
4. Marketing tools
We may share promotion media such as banners, logos, or specific collection promotions with you through the https://waltons.com/brand page. You can download media materials here or contact [email protected] for additional marketing material. Additional marketing material may be posted within the affiliates' overflow account.
5. Cookies and JavascriptSDK
Walton's affiliate program uses JavascriptSDK and cookies to track referrals and attribute sales to the correct affiliate. When a potential customer clicks on an affiliate link, a cookie is placed on their device. This cookie has a duration of 7 days. If the customer makes a purchase within this 7-day period, the sale will be attributed to the affiliate whose link was last clicked. This means that the affiliate will earn a commission for the sale, provided all other conditions are met. It is important for affiliates to inform their audience about the use of cookies and ensure compliance with any applicable data protection and privacy laws.
6. Removal from the Referral Program
If an affiliate wishes to be removed from the affiliate program, they can contact [email protected]. For any other support questions, please reach out to [email protected]
7. Non-Compete
We maintain a strict policy prohibiting our affiliates from working with companies offering similar products or services. We reserve the right to terminate our partnership with any affiliate who engages in business with our competitors. If termination is determined, payment will stop immediately.
8. Affiliate Responsibilities
As our valued affiliates, we expect you to actively promote Walton's products and services through your marketing channels. This promotion includes creating engaging content, sharing our latest offers, and driving traffic to our website. Your efforts should align with our brand values and contribute to our mutual success. Additionally, we reserve the right to repurpose any content created by affiliates that use and promote our products.
9. Limitation of Liability
Walton's shall not be responsible for and disclaims all liability for any loss, liability, damage (whether direct, indirect, or consequential), personal injury, or expense of any nature whatsoever that may be suffered by you or any third party (including your company), as a result of or which may be attributable, directly or indirectly, to your access and use of the website, any information contained on the website, your or your company's personal information or material and information transmitted over our system. In particular, neither the website owner nor any third party or data or content provider shall be liable in any way to you or to any other person, firm or corporation whatsoever for any loss, liability, damage (whether direct or consequential), personal injury or expense of any nature whatsoever arising from any delays, inaccuracies, errors in, or omission of any share price information or the transmission thereof, or for any actions taken in reliance thereon or occasioned thereby or by reason of non-performance or interruption, or termination thereof. Any provision of any relevant terms and conditions, policies and notices, which is or becomes unenforceable in any jurisdiction, whether due to being void, invalidity, illegality, unlawfulness or for any reason whatever, shall, in such jurisdiction only and only to the extent that it is so unenforceable, be treated as void and the remaining provisions of any relevant terms and conditions, policies and notices shall remain in full force and effect.
10. Confidentiality
"Confidential Information" means any information disclosed by one party to the other party, whether orally, in writing, electronically, or by any other means, that is designated as confidential or that reasonably should be understood to be confidential under the circumstances. This includes, but is not limited to, payout amounts, commission percentages, any other financial information related to the affiliate program, marketing plans, customer lists and data, promotional materials, affiliate performance data, and contract terms. Each party agrees to hold the other party's Confidential Information in confidence and not to disclose it to any third party without the disclosing party's prior written consent. The obligations of confidentiality under this section shall not apply to information that is or becomes publicly known through no wrongful act of the receiving party; was rightfully in the receiving party's possession prior to disclosure by the disclosing party; is rightfully received by the receiving party from a third party without any obligation of confidentiality; or is independently developed by the receiving party without use of the disclosing party's Confidential Information. A party may disclose Confidential Information to the extent required by law or by order of a court or other governmental authority, provided that the receiving party promptly notifies the disclosing party of such requirement and cooperates with the disclosing party to seek confidential treatment of such information.

12. Compliance and Legal Requirements
Affiliates must comply with all applicable laws and regulations, including but not limited to data protection, privacy, and advertising standards. They are responsible for ensuring that their promotional activities, including the content and methods used, adhere to all relevant legal requirements. Affiliates must not engage in any deceptive, misleading, or unethical advertising practices. All promotional content must be truthful and accurate and not make false claims about Walton's products or services.
This Agreement shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Wichita, Kansas.
Affiliates must handle all personal data by applicable data protection laws, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), where applicable. They must implement appropriate technical and organizational measures to protect personal data against unauthorized access, loss, or disclosure.
Affiliates must respect Walton's intellectual property rights, including trademarks, logos, and copyrighted materials. They may only use Walton's intellectual property in accordance with the guidelines provided by Walton's and must not alter or misuse any intellectual property.4
Affiliates must not engage in any activities that could harm Walton's reputation or brand, including but not limited to spamming, using unauthorized coupon codes, or promoting Walton's products on inappropriate websites. They must not use any form of paid advertising, including pay-per-click (PPC) campaigns, that direct traffic to Walton's website without prior written approval from Walton's.
Walton's reserves the right to monitor affiliate activities to ensure compliance with these requirements. Any violations of these compliance and legal requirements may result in immediate termination of the affiliate agreement and forfeiture of any outstanding commissions.
13. Length of Term
The term of this agreement shall continue indefinitely until either party breaches the terms or decides to terminate the agreement. Either party may terminate this agreement by providing written notice at least 30 days prior to the intended termination date. If termination occurs by either party, all payouts will cease immediately.
15. Terms & Conditions Modifications
Walton's Inc. may revise these terms of use for its affiliate program at any time without notice. By becoming an affiliate you are agreeing to be bound by the then current version of these Terms and Conditions of Use.
